Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Wennig Wealth ("Wennig Wealth," "we," "us," or "our") governing your access to and use of the Wennig Wealth platform, mobile application, and website (collectively, the "Platform"). By creating an account or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Brokerage Services

Wennig Wealth is a technology platform that provides tools, analytics, and educational content related to stock investing. Securities brokerage services are provided by Alpaca Securities LLC ("Alpaca"), a broker-dealer registered with the Securities and Exchange Commission ("SEC") and a member of the Financial Industry Regulatory Authority ("FINRA") and the Securities Investor Protection Corporation ("SIPC"). Wennig Wealth is not a registered broker-dealer. All securities transactions are executed, cleared, and settled through Alpaca, and your brokerage account is held at Alpaca. Your use of brokerage services is additionally governed by the Alpaca Customer Agreement, which you will be required to accept during the account-opening process.

2. Account Registration

To access certain features of the Platform, you must register for an account. You represent and warrant that all information provided during registration is accurate, complete, and current. You must be at least eighteen (18) years of age and a legal resident of the United States to open a brokerage account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Investment Risk

All investments involve risk, including the possible loss of principal. Past performance does not guarantee future results. The Platform provides informational content and analytical tools that are not personalized investment advice. Nothing on the Platform constitutes a recommendation to buy, sell, or hold any security. 4. Automated Trading Features

The Platform may offer automated or semi-automated trading features ("Automated Trading") depending on your subscription tier. Automated Trading executes trades based on parameters you configure. You acknowledge that Automated Trading does not guarantee profits and may result in losses. You are responsible for monitoring your Automated Trading settings and positions. Wennig Wealth and Alpaca disclaim all liability for losses arising from the use of Automated Trading features.

5. Fees and Subscriptions

Wennig Wealth offers subscription plans at various tiers ("Membership Plans"). Subscription fees are billed on a recurring basis through our payment processor. Certain brokerage fees, such as regulatory and clearing fees, may be charged by Alpaca on individual transactions. You agree to pay all applicable fees associated with your account. All fees are non-refundable except as required by applicable law.

6. User Conduct

You agree not to use the Platform for any unlawful purpose or in any manner that could damage, disable, or impair the Platform. Prohibited conduct includes, but is not limited to, market manipulation, insider trading, spoofing, or any activity that violates federal or state securities laws. Violations may result in account suspension or termination and may be reported to regulatory authorities.

7. No Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, we disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither Wennig Wealth nor its officers, directors, employees, or affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising from these Terms shall not exceed the total amount of subscription fees you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Wennig Wealth, Alpaca, and their respective affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your violation of any law or the rights of a third party.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be effective thirty (30) days after posting the revised Terms on the Platform. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws provisions. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in Wilmington, Delaware.
